Terms of Service

1. Acceptance
These Terms of Service ("Terms") are a legal agreement between you and Forty Two LLC (13th Floor, 34 Sangwon 12-gil, Seongdong-gu, Seoul, Republic of Korea), referred to as "Virtu", "we", "us", or "our". By downloading, installing, or using the Virtu application or web services, you agree to these Terms. If you do not agree, do not use Virtu.
2. Account & Authentication
Virtu offers sign-in through Google Sign-In and Apple Sign-In. You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not share your account with others. You agree to notify us immediately at support@virtu-oso.com if you suspect unauthorized access to your account.
3. License
Virtu grants you a limited, non-exclusive, non-transferable, revocable license to use the software for personal, non-commercial music practice and analysis. You may not reverse-engineer, decompile, or redistribute the application or its underlying algorithms, except where applicable law does not permit that restriction.
4. Free & Premium Tiers
Virtu offers a free tier with core MIDI practice features. Plus features require a paid subscription, available as monthly and annual plans. Current reference pricing is displayed on our Pricing page; the purchase screen shows the final local price and eligibility before you confirm. Prices may change, with notice when required by applicable law or store policy.
5. Free Trial
New subscribers may be eligible for a free trial: 7 days for the monthly plan and 14 days for the annual plan. The purchase screen shows whether your store account is eligible before you confirm. If a trial is offered, it automatically converts to a paid subscription at the displayed price unless you cancel before the trial ends. You may cancel through your Apple App Store or Google Play Store account settings.
6. Subscription & Billing
All subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. Payment is processed through the Apple App Store or Google Play Store. To cancel your subscription, you must do so through your device's subscription management settings — canceling within the Virtu app alone does not cancel billing. Refunds are subject to the applicable policies of the Apple App Store or Google Play Store. Virtu does not process payments directly and cannot issue refunds on behalf of these platforms.
7. Your Content
You retain full ownership of your recordings, MIDI data, and practice history. Virtu does not claim any intellectual property rights over your musical performances. See our Privacy Policy for details on how your data is processed.
8. Intellectual Property
The Virtu application, its source code, algorithms (including FSRS-based spaced repetition), user interface designs, documentation, and curated content library are the exclusive property of Virtu and are protected by copyright, trademark, and other intellectual property laws. MusicXML and MIDI files that you import into Virtu remain your property. You grant Virtu a limited, non-exclusive license to process your imported files solely for the purpose of providing the service to you. This license terminates when you delete the files or complete account deletion, subject to limited retention required by law or described in the Privacy Policy.
9. User Conduct
When using Virtu, you agree not to: (a) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or protected algorithms of the application, except where applicable law does not permit that restriction; (b) circumvent, disable, or interfere with feature gates, subscription checks, or other access-control mechanisms; (c) scrape, harvest, or programmatically extract content from the application; (d) share, sell, or transfer your account credentials to any third party; (e) use Virtu for any unlawful purpose or in violation of any applicable laws; or (f) transmit any malicious code, viruses, or harmful data through the service. Violation of these terms may result in suspension or termination of your account.
10. Automated Practice Features & Disclaimer
Virtu uses automated systems, including FSRS spaced-repetition scheduling and MIDI performance analysis, to provide practice results and suggested next steps. These outputs are provided for educational and informational purposes only and do not constitute professional musical instruction, assessment, or certification. Results depend on the imported score, MIDI input, configuration, and other factors. Virtu does not guarantee that an automated result is complete or suitable for every musician. Use your judgment and, when appropriate, guidance from a qualified teacher.
11. Third-Party Services
Virtu integrates with third-party services to provide its functionality. Subscription purchases are processed through the Apple App Store and Google Play Store, and your use of those platforms is governed by their respective terms of service. Payment infrastructure is provided by RevenueCat, which processes subscription data on our behalf. Authentication is provided by Google Sign-In and Apple Sign-In, subject to their own terms. By using Virtu, you acknowledge that these third-party services have their own privacy policies and terms which are independent of ours.
12. Disclaimer
Virtu is provided "as is" without warranty of any kind. While we strive for accuracy in our diagnostic analysis, Virtu is a practice tool — not a substitute for a qualified music teacher. We do not guarantee specific learning outcomes.
13. Limitation of Liability
To the maximum extent permitted by law, Virtu and its creators shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service. In no event shall Virtu's total aggregate liability exceed the amount you paid to Virtu in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Virtu, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the service.
15. Termination
Virtu may suspend or terminate your access to the service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Virtu, or third parties. You may delete your account through application settings or the public account-deletion request path. Active auto-renewing subscriptions must be cancelled with Apple or Google before deletion can finish. Upon deletion, personal account fields and sign-in links are removed, local data on the current device is deleted by the in-app flow, and the backend profile row is anonymized into a tombstone to preserve legally required financial and audit relationships. Related retained records may still contain limited transaction, refund, or operator-audit details as described in our Privacy Policy. Cancelling a paid subscription does not automatically delete your account or data.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict-of-law principles. Any legal proceedings arising out of or relating to these Terms that are not subject to arbitration shall be brought exclusively in the courts located in Seoul, Republic of Korea, and you consent to the personal jurisdiction of such courts.
17. Dispute Resolution
In the event of any dispute arising from or relating to these Terms, you agree to first attempt resolution through good-faith negotiation by contacting us at support@virtu-oso.com. If the dispute is not resolved within thirty (30) days, either party may submit the dispute to binding arbitration administered by the Korean Commercial Arbitration Board (KCAB) under its then-current rules. The arbitration shall be conducted in Seoul, Republic of Korea, in Korean or English. To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
18. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
19. Changes
We may update these Terms periodically. When a change is material, we will provide notice through an appropriate channel and with the advance notice required by applicable law.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Virtu regarding your use of the service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
