Terms of Service

1. Acceptance
These Terms of Service (Terms) are a legal agreement between you and Forty Two LLC (13th Floor, 34 Sangwon 12-gil, Seongdong-gu, Seoul, Republic of Korea), referred to as Virtu, we, us, or our. By downloading, installing, or using the Virtu application or web services, you agree to these Terms. If you do not agree, do not use Virtu.
2. Account & Authentication
Virtu offers sign-in through Google Sign-In and Apple Sign-In. You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not share your account with others. Notify us immediately at support@virtu-oso.com if you suspect unauthorized access to your account.
3. License
Virtu grants you a limited, non-exclusive, non-transferable, revocable license to use the software for personal, non-commercial music practice and analysis. You may not reverse-engineer, decompile, or redistribute the application or its underlying algorithms, except where applicable law does not permit that restriction.
4. Free & Plus
Virtu gives every practice session a personal piano coach through a complete Free experience, including repertoire-wide Practice Autopilot, prepared practice, and manual practice from any score or passage. Plus adds deeper performance understanding, personal guidance, expressive identity, automation, continuity, and premium playback through monthly and annual subscriptions. Current pricing is displayed on our Pricing page; the purchase screen shows the final local price and eligibility before you confirm. Prices may change, with notice when required by applicable law or store policy.
5. Free Trial
New subscribers may be eligible for a free trial. The purchase screen shows the trial period, whether your store account is eligible, and the renewal price before you confirm. If a trial is offered, it automatically converts to a paid subscription at the displayed price unless you cancel before the trial ends. You may cancel through your Apple App Store or Google Play Store account settings.
6. Subscription & Billing
All subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. Payment is processed through the Apple App Store or Google Play Store. To cancel, use your device's subscription-management settings; canceling within Virtu alone does not cancel billing. Refunds follow the applicable policies of Apple App Store or Google Play Store. Virtu support may issue an eligible full Google Play refund without cancelling subscription access or renewal. Apple refund requests and Google partial refunds are handled by the store.
7. Your Content
You retain full ownership of your recordings, MIDI data, and practice history. Virtu does not claim any intellectual property rights over your musical performances. See our Privacy Policy for details on how your data is processed.
8. Intellectual Property
The Virtu application, its source code, algorithms (including FSRS-based spaced repetition), user interface designs, documentation, and curated content library are the exclusive property of Virtu and are protected by copyright, trademark, and other intellectual property laws. MusicXML and MIDI files that you import into Virtu remain your property. You grant Virtu a limited, non-exclusive license to process your imported files solely to provide the service to you. This license terminates when you delete the files or complete account deletion, subject to limited retention required by law or described in the Privacy Policy.
9. User Conduct
When using Virtu, you agree not to: (a) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or protected algorithms, except where applicable law does not permit that restriction; (b) circumvent, disable, or interfere with feature gates, subscription checks, or other access controls; (c) scrape, harvest, or programmatically extract content; (d) share, sell, or transfer account credentials; (e) use Virtu unlawfully or in violation of applicable law; or (f) transmit malicious code, viruses, or harmful data. A violation may result in suspension or termination of your account.
10. Automated Practice Features & Disclaimer
Virtu provides automated practice planning, MIDI performance analysis, personalized guidance, and suggested next steps. These features help you decide what to practise, diagnose repeatable patterns, and adapt each session. Results depend on the imported score, MIDI input, configuration, repertoire, practice consistency, and individual circumstances, so particular outcomes cannot be guaranteed.
11. Third-Party Services
Virtu integrates third-party services to provide its functionality. Subscription purchases are processed through Apple App Store and Google Play Store under their respective terms. RevenueCat provides payment infrastructure and processes subscription data on our behalf. Authentication is provided by Google Sign-In and Apple Sign-In under their own terms. These services have privacy policies and terms independent of ours.
12. Disclaimer
Virtu provides automated practice planning, performance analysis, and personalized guidance. Results depend on factors including practice consistency, repertoire, equipment, and individual circumstances, so particular outcomes cannot be guaranteed. Virtu is provided as is without warranty of any kind.
13. Limitation of Liability
To the maximum extent permitted by law, Virtu and its creators shall not be liable for indirect, incidental, or consequential damages arising from your use of the service. Virtu's total aggregate liability shall not exceed the amount you paid to Virtu in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Virtu, its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the service; (b) your violation of these Terms; (c) your violation of third-party rights; or (d) content you submit through the service.
15. Termination
Virtu may suspend or terminate your access at any time, with or without notice, for conduct that violates these Terms or harms other users, Virtu, or third parties. You may delete your account through application settings or the account deletion page. You must cancel an App Store or Google Play subscription in your store account before account deletion can finish; deleting your Virtu account does not cancel billing. Deletion removes personal account details and sign-in connections. If you use the installed app, it also deletes data stored on that device. We may keep limited purchase, refund, security, legal, or support records when needed to complete a transaction, respond to a support request, prevent fraud, protect the service, or follow the law, as described in our Privacy Policy. Cancelling a paid subscription does not automatically delete your account or data.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict-of-law principles. Legal proceedings arising from these Terms that are not subject to arbitration shall be brought exclusively in the courts located in Seoul, Republic of Korea, and you consent to their jurisdiction.
17. Dispute Resolution
For any dispute arising from or relating to these Terms, first attempt good-faith negotiation by contacting support@virtu-oso.com. If it is not resolved within thirty (30) days, either party may submit it to binding arbitration administered by the Korean Commercial Arbitration Board (KCAB) under its then-current rules. Arbitration will be conducted in Seoul, Republic of Korea, in Korean or English. To the fullest extent permitted by law, proceedings will be individual, not class, consolidated, or representative.
18. Severability
If a court of competent jurisdiction finds any provision of these Terms unlawful, void, or unenforceable, that provision shall be severable and shall not affect the validity or enforceability of the remaining provisions, which remain in full force and effect.
19. Changes
We may update these Terms periodically. When a change is material, we will provide notice through an appropriate channel and with the advance notice required by applicable law.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Virtu regarding your use of the service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
